Effective October 1, 2026
These Terms of Service ("Terms") are an agreement between you and Tessella Technologies, LLC ("Tessella", "we", "us") governing your use of WorkPro and the other WorkPro Apps at workapps.app (the "Service"). If you use the Service on behalf of an organization, you agree to these Terms for that organization and confirm you have authority to bind it; "Customer" means that organization, and "you" includes both the Customer and its individual users. If you do not agree to these Terms, do not use the Service.
To use the Service you must sign in and belong to a workspace. You must give accurate information, keep your sign-in credentials secure, and tell us promptly of any unauthorized use of your account. A Customer's administrators control who may join its workspace, what each member can see and do, and may remove members at any time. The Customer is responsible for all activity in its workspace and for its users' compliance with these Terms. You must be at least the age of majority where you live to accept these Terms; younger people may use the Service only through a Customer, such as a school, that has obtained any consent the law requires.
"Customer Data" means the information you and your users submit to the Service, such as records, notes, files and images. As between you and us, the Customer owns Customer Data. You grant us a worldwide, non-exclusive license to host, copy, process, transmit and display Customer Data only as needed to provide, secure and support the Service, and as described in our Privacy Policy. You are responsible for Customer Data, including its accuracy and legality, and for having the rights and consents needed to put it in the Service and to have us process it — including information about your own contacts, customers and students.
You agree not to, and not to let anyone else:
We may remove content or suspend access that we reasonably believe violates this section.
The Service can connect to services we do not control, such as your Google account for sending email and managing calendar events. Your use of those services is governed by their own terms, and you authorize us to exchange data with them as needed for the features you turn on. We are not responsible for third-party services, and features that depend on them may change or stop working if the provider changes or withdraws its service. You can disconnect a connected account at any time.
The Customer agrees to the plan, number of users, fees and billing terms set out in its order, quote or invoice from us. Unless stated otherwise there, fees are invoiced in advance, are due within 30 days of the invoice date, are in U.S. dollars, and are non-refundable except as these Terms or the law require. Fees exclude taxes, which the Customer is responsible for other than taxes on our income. We may suspend the Service if fees remain unpaid more than 15 days after we give notice that they are overdue. We may change our fees for future billing periods with at least 30 days' notice.
If you are given a free trial or a free plan, it is provided as-is, may have limited features, and we may end it at any time. At the end of a trial, continued use requires a paid plan.
We and our licensors own the Service, including its software, design and content other than Customer Data, and all related intellectual property rights. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription for your internal business purposes. We may improve and change the Service over time; if we remove a material feature the Customer has paid for, we will give reasonable notice. If you send us feedback or suggestions, we may use them without restriction or obligation to you.
Each party may receive non-public information from the other that is marked confidential or should reasonably be understood to be confidential, including Customer Data. The receiving party will use it only to perform under these Terms, protect it with at least reasonable care, and not disclose it except to its personnel and service providers who need to know it and are bound by similar obligations, or as required by law. This does not apply to information that is or becomes public through no fault of the receiving party, was already known to it, or is independently developed or rightfully received from others.
We maintain reasonable administrative, technical and physical safeguards for Customer Data, as described in our Privacy Policy. We will notify the Customer without undue delay if we become aware of a security breach affecting its Customer Data. We will make reasonable efforts to keep the Service available, but it may be unavailable from time to time for maintenance, upgrades or reasons beyond our control. Our personnel may access a workspace when needed to provide support you request, to keep the Service secure, or to comply with law.
These Terms apply for as long as you use the Service. A Customer's subscription runs for the period in its order and renews as stated there. Either party may end the subscription at the end of a billing period by giving notice, or immediately if the other party materially breaches these Terms and does not cure the breach within 30 days of notice. We may suspend access immediately if needed to prevent harm to the Service, other customers or third parties, or if required by law; we will tell you when we reasonably can and restore access once the issue is resolved.
When a subscription ends, access to the workspace ends. For 30 days afterward, the Customer may ask us to provide an export of its Customer Data; after that we may delete it, as described in our Privacy Policy. Sections 2, 5 (for amounts owed), 6, 7 and 10 through 15 survive termination.
Except as expressly stated in these Terms, the Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the Service will be uninterrupted, error-free or free of harmful components, or that data will not be lost.
To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, even if advised of their possibility. Each party's total liability arising out of or relating to these Terms will not exceed the amounts the Customer paid us for the Service in the 12 months before the event giving rise to the liability, or $100 if no fees were paid. These limits do not apply to the Customer's obligation to pay fees, to a party's indemnification obligations, or to liability that cannot be limited by law.
The Customer will defend and indemnify Tessella against third-party claims, and resulting losses and reasonable costs, arising from Customer Data or from the Customer's or its users' use of the Service in breach of these Terms or the law. We will defend and indemnify the Customer against third-party claims that the Service, as we provide it, infringes that third party's intellectual property rights, except claims arising from Customer Data, third-party services, or combinations or modifications not made by us. The indemnified party must give prompt notice of the claim, let the indemnifying party control the defense, and provide reasonable cooperation.
We may update these Terms from time to time. We will post the updated Terms here and change the effective date above, and if the changes are material we will give at least 30 days' notice through the Service or by email before they take effect. Continuing to use the Service after changes take effect means you accept them.
These Terms are governed by the laws of the State of Utah and applicable U.S. federal law, without regard to conflict-of-law rules. The state and federal courts located in Utah have exclusive jurisdiction over any dispute arising out of or relating to these Terms, and each party consents to that jurisdiction. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
These Terms, together with any order or invoice and our Privacy Policy, are the entire agreement between you and us about the Service; if they conflict, a signed order or written agreement with the Customer controls. Neither party may assign these Terms without the other's consent, except to a successor in a merger, acquisition or sale of substantially all of its assets. Neither party is liable for delays or failures caused by events beyond its reasonable control. If any provision is found unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver. The parties are independent contractors. Notices to us must be sent to the address below; we may give notices to you by email or through the Service.
